These Terms of Use ("Terms") govern your access to and use of EdgeRecall, including our website, web application, trade journal, import tools, analytics, AI-assisted features, file attachment features, product telemetry, and related support services (collectively, the "Service").
Please read these Terms carefully. By creating an account, using the Service, uploading or importing trading data, using AI-assisted features, or otherwise interacting with the Service, you agree to comply with these Terms. If you do not agree to these Terms, you must not use the Service.
These Terms apply together with our Privacy Policy, Cookie Policy, and any other rules or notices that we make available in connection with the Service. If there is a conflict between these Terms and a separate written agreement signed by you and us, that separate agreement will control for the matters it covers.
1. What the Service does
EdgeRecall is a private web application for trade journaling and trading analytics. The Service is designed to help users record, organize, review, and better understand their own trading activity.
The Service may allow you to:
- manually create and edit trade records;
- import trading data from CSV files;
- capture trades or journal entries with AI-assisted tools;
- upload or attach screenshots, files, notes, and other supporting materials;
- review trades, trading sessions, mistakes, patterns, performance, and historical behavior;
- generate analytics, summaries, journal prompts, trade reviews, and educational explanations;
- interact with AI-assisted analyst or chat features; and
- help us improve product reliability through product telemetry and diagnostic events.
The Service currently does not execute trades, custody assets, hold funds, connect directly to broker or exchange accounts, store user-created exchange API keys, provide brokerage services, provide portfolio management, or guarantee any trading result.
If we later add additional features, such as mobile applications, public sharing, community features, broker or exchange connections, APIs, team workspaces, paid subscriptions, or other advanced services, those features may be subject to additional terms, checkout terms, notices, or policies.
We may modify, suspend, discontinue, or limit any part of the Service at any time, including features, analytics, import options, AI-assisted tools, reports, or availability. To the maximum extent permitted by law, we are not liable for any loss resulting from changes to or unavailability of the Service.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
By using the Service, you represent that:
- you have the legal capacity to accept these Terms;
- your use of the Service is lawful in your jurisdiction;
- your use of the Service complies with applicable laws;
- you will use the Service only for lawful purposes; and
- all information you provide to us is accurate, complete, and up to date.
If you use the Service on behalf of a company, fund, trading group, school, community, or other organization, you represent that you have authority to accept these Terms on behalf of that organization. In that case, "you" includes both you personally and the organization.
3. Account registration and security
To access the Service, you may need to create an account using email/password authentication or another supported authentication method.
You agree to provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must not share, sell, transfer, sublicense, or otherwise provide access to your account to another person, except where we expressly permit such access.
You must notify us promptly if you believe your account, password, email, device, or other credentials have been compromised.
We are not responsible for losses resulting from unauthorized account access caused by your failure to secure your account, device, email, password, or other login information.
4. Trading data, CSV imports, and manual entries
The Service currently supports manual trade entry and CSV imports. You may upload CSV files or enter information manually to create, preview, stage, finalize, review, and analyze trade records.
You are responsible for ensuring that any data you upload, import, enter, or submit to the Service is accurate, lawful, and yours to use.
CSV files and imported rows may include trade history, symbols, instruments, timestamps, prices, quantities, fees, commissions, trade sides, order information, account labels, exchange or broker names, notes, tags, and other trading-related data. Depending on how you prepare your file, CSV files may also contain information that is not required by the Service. You should review files before upload and avoid uploading unnecessary personal, financial, confidential, or sensitive information.
Imported data may be incomplete, duplicated, misclassified, incorrectly mapped, or affected by formatting issues, timezone differences, decimal separators, exchange-specific export formats, missing rows, partial fills, fees, funding rates, or other data quality issues.
You are responsible for reviewing imported data before and after finalizing an import. CSV compatibility depends on supported columns and file formatting; not all broker or exchange exports are supported. You should independently verify all data before relying on it for tax, accounting, compliance, investment, or trading decisions.
The Service currently does not require or store user-created exchange API keys. If direct broker, exchange, wallet, or API connections become available in the future, additional terms, privacy disclosures, and security notices may apply.
5. Attachments, screenshots, voice notes, and transcripts
The Service may allow you to upload, attach, or create supporting materials such as screenshots, files, images, voice notes, audio recordings, transcripts, journal notes, trade review notes, and other content related to your trades or trading behavior.
You are responsible for ensuring that you have the right to upload and process these materials through the Service. You should avoid uploading unnecessary personal data, confidential information, account credentials, API keys, private keys, seed phrases, payment card data, government identification documents, or information relating to other people unless you have a lawful basis and authorization to do so.
Attachments and related materials may be processed to provide core product functionality, previews, storage, search, AI-assisted analysis, transcription, review workflows, support, security, and troubleshooting, as further described in our Privacy Policy.
6. No investment, financial, tax, legal, or professional advice
The Service is provided for informational, analytical, journaling, and educational purposes only.
We are not a broker, dealer, investment adviser, financial adviser, portfolio manager, exchange, custodian, bank, tax adviser, legal adviser, accounting adviser, or fiduciary. Nothing in the Service is investment, financial, tax, legal, accounting, or other professional advice.
The Service may display analytics, statistics, performance metrics, risk metrics, charts, trade reviews, summaries, tags, educational explanations, AI-assisted outputs, or examples. These materials are not recommendations to buy, sell, hold, short, long, stake, lend, borrow, hedge, copy, or otherwise trade any asset, instrument, strategy, or market.
You are solely responsible for your trading and investment decisions. Trading and investing involve substantial risk, including the possible loss of all capital. Past performance does not guarantee future results.
Before making any trading, investment, tax, legal, or accounting decision, you should consult qualified professionals and independently verify all relevant information.
7. Accuracy of information and analytics
We work to provide useful tools and information, but we do not guarantee that the Service, imported data, manually entered data, calculations, reports, statistics, analytics, reviews, summaries, AI-assisted outputs, or other information will be accurate, complete, current, uninterrupted, or error-free.
Errors may occur because of user input, CSV formatting, import mapping, timezone differences, symbol mapping, asset conversions, fees, commissions, funding rates, partial fills, duplicate rows, missing data, delayed processing, third-party service issues, software bugs, AI limitations, or other reasons.
You are responsible for reviewing and verifying all data, calculations, and outputs before relying on them. We are not liable for trading losses, missed opportunities, tax errors, reporting errors, compliance issues, or other consequences arising from inaccurate or incomplete information in the Service.
8. AI-assisted features
The Service may include AI-assisted features, including trade capture, journal prompts, trade summaries, behavior insights, mistake detection, performance explanations, review assistance, transcription, tagging suggestions, chat, and other generated outputs.
To provide these features, we and our service providers may process trade records, imported rows, screenshots, attachments, voice notes, audio recordings, transcripts, journal notes, narratives, reviews, chat messages, prompts, metadata, and related context. Additional details about data processing, subprocessors, retention, and user rights are provided in our Privacy Policy.
AI-assisted outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for your situation. They may fail to identify important risks or context. You remain solely responsible for reviewing any automated or AI-assisted output before using it.
AI-assisted features do not create investment advice, personalized financial recommendations, professional advice, or a fiduciary relationship.
We may refuse, filter, limit, or decline prompts or requests that seek buy, sell, hold, short, long, position sizing, market timing, signal generation, portfolio allocation, or other investment advice. We may also limit prompts that violate these Terms, applicable law, platform safety requirements, or third-party provider policies.
We may modify, limit, suspend, or discontinue AI-assisted features at any time.
9. Free, beta, and future paid features
The Service may currently be offered for free, in beta, or under limited access. Free or beta access may be changed, limited, suspended, or discontinued at any time.
We may introduce paid plans, premium features, usage limits, trials, promotional offers, or subscriptions in the future. If we do, the applicable prices, billing cycles, renewal terms, cancellation process, refund policy, taxes, and checkout disclosures will be presented at checkout or in separate payment terms.
We will not charge you for paid features unless you choose to purchase them or otherwise provide payment authorization.
If we offer paid digital services to consumers, nothing in these Terms limits any mandatory cancellation, withdrawal, refund, conformity, statutory remedy, or consumer protection rights that apply under the laws of your jurisdiction.
10. Acceptable use
You agree not to use the Service to:
- violate any law, regulation, court order, exchange rule, broker rule, or third-party right;
- upload, share, or distribute unlawful, harmful, abusive, threatening, defamatory, obscene, hateful, discriminatory, fraudulent, deceptive, or otherwise objectionable content;
- harass, intimidate, abuse, impersonate, or mislead another person or entity;
- infringe intellectual property, privacy, publicity, contractual, confidentiality, or other rights;
- upload malware, viruses, scripts, bots, worms, or other harmful code;
- interfere with, disrupt, reverse engineer, overload, scrape, crawl, scan, probe, or attack the Service or its infrastructure;
- attempt to gain unauthorized access to accounts, systems, data, files, integrations, or networks;
- bypass usage limits, security controls, rate limits, paywalls, subscription restrictions, or access controls;
- use the Service to provide competing services, resell access, or commercially exploit the Service without our written permission;
- submit false, misleading, manipulated, or unauthorized trading data;
- upload another person's private trading data, personal data, screenshots, account information, credentials, or confidential information without authorization;
- use the Service for scams, phishing, spam, illegal financial promotions, or other unlawful activity; or
- use the Service in a way that may harm us, other users, third parties, markets, or the integrity of the Service.
We may investigate suspected violations and may remove content, restrict features, suspend accounts, terminate accounts, or cooperate with competent authorities where appropriate.
11. User content and your license to us
"User Content" means any content, data, information, files, notes, screenshots, comments, trade records, journal entries, tags, playbooks, reports, images, audio, transcripts, messages, feedback, or other materials that you upload, import, create, submit, or otherwise provide through the Service.
You retain ownership of your User Content, subject to the limited rights you grant us in these Terms.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, format, modify, and otherwise use your User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the Service, including through our service providers and subprocessors.
We may use aggregated, de-identified, or anonymized information derived from use of the Service to understand product performance, improve reliability, develop features, measure usage, and operate our business, provided such information does not identify you.
We will not make your User Content public by default. We will not sell your private trade records. We do not use private User Content to train general-purpose AI models. We may use aggregated, de-identified, or anonymized data as described above. Any optional use of private User Content for additional model training or similar purposes would require a clear opt-in or another valid legal basis where permitted by applicable law.
You represent and warrant that you have all rights necessary to provide your User Content and that your User Content does not violate these Terms, applicable law, confidentiality obligations, or any third-party rights.
You are solely responsible for your User Content and for the consequences of uploading, importing, creating, or using it.
12. Sharing and community features
The Service is private by default. If we make sharing, public profiles, comments, groups, community features, or public trade publication features available in the future, additional rules or terms may apply.
If you choose to share content with other users, groups, communities, or the public, you understand that shared content may be viewed, copied, saved, discussed, indexed, or redistributed by others, and we may not be able to control what third parties do with content you choose to share.
Any shared trading content would be for informational and educational purposes only. We would not endorse, verify, guarantee, or assume responsibility for user-shared content.
13. Product telemetry and diagnostics
The Service may collect product telemetry, usage events, diagnostic events, performance information, error logs, security events, import events, feature usage events, and related metadata to operate, secure, debug, analyze, and improve the Service.
Telemetry helps us understand whether features work, detect failures, improve reliability, prevent abuse, and prioritize product development. Details about telemetry, cookies, analytics tools, retention, and your choices are provided in our Privacy Policy and Cookie Policy. Where required by law, we will request consent or provide applicable choices.
14. Feedback
If you send us feedback, ideas, suggestions, bug reports, feature requests, or other comments about the Service, you grant us the right to use them without restriction or compensation. We may use feedback to improve, develop, market, or modify the Service.
15. Our intellectual property
The Service, including software, design, interface, workflows, dashboards, graphics, logos, trademarks, service names, analytics models, reports, templates, documentation, content, and other materials, is owned by us or our licensors and is protected by intellectual property and other laws.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your personal or internal business purposes.
You may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, distribute, sell, lease, sublicense, resell, make available, or create derivative works from the Service except as expressly permitted by us or applicable law.
Nothing in these Terms grants you any right to use our name, logo, trademarks, service marks, branding, or other proprietary identifiers without our prior written consent.
16. Privacy and data protection
Our collection, use, storage, and sharing of personal data is described in our Privacy Policy. By using the Service, you acknowledge that we process personal data as described in the Privacy Policy.
Our Privacy Policy describes, as applicable, how we process account data, trade records, imported CSV files and staged rows, screenshots, attachments, voice notes, audio recordings, transcripts, AI chat messages, prompts, journal memory, embeddings, reviews, audit trails, product telemetry, authentication events, security events, cookies, session data, support messages, and billing data if paid features are introduced.
You are responsible for ensuring that any personal data you upload, import, or submit through the Service is provided lawfully and with any required notices, consents, or permissions.
If you use the Service on behalf of an organization and upload personal data relating to other individuals, additional data processing terms may apply.
17. Third-party services, infrastructure providers, and subprocessors
The Service may rely on third-party infrastructure and service providers that help us operate EdgeRecall, including hosting providers, database providers, storage providers, authentication providers, analytics providers, AI model providers, transcription providers, email providers, monitoring tools, and payment processors if paid features are introduced. These providers process data on our behalf as described in our Privacy Policy and, where applicable, under appropriate data protection terms.
The Service may also include links to or references to third-party services that you choose to use independently, such as trading platforms, brokers, exchanges, file export tools, educational resources, or other websites. These independently chosen third-party services are not controlled by us, and we are not responsible for their content, data, accuracy, availability, security, privacy practices, terms, fees, decisions, or actions.
Your use of third-party services may be subject to separate terms and policies. You are responsible for reviewing and complying with them where applicable.
The inclusion of a third-party provider, link, or reference does not imply endorsement, sponsorship, partnership, or guarantee.
18. Beta features and changes to the Service
We may release beta, experimental, preview, early access, or test features. Such features may be unstable, incomplete, inaccurate, or changed without notice. We may limit or discontinue them at any time.
You use beta features at your own risk. We do not guarantee that beta features will become generally available or remain part of the Service.
19. Account deletion, data export, and retention
You may request account deletion or data export by contacting us at support@edgerecall.com, unless and until self-service tools are available in the Service.
Where required by applicable law, we will provide access, deletion, export, correction, or other rights in accordance with our Privacy Policy and applicable data protection laws.
After account deletion or termination, we may delete or de-identify your User Content and account data, subject to our Privacy Policy, backup retention, security requirements, legal obligations, dispute resolution, audit logs, fraud prevention, and legitimate business needs.
Backup copies, logs, and audit records may persist for a limited period before deletion according to our retention practices. We may retain aggregated, de-identified, or anonymized data that does not identify you.
20. Security
We use reasonable technical and organizational measures designed to protect the Service. However, no system is perfectly secure.
You are responsible for securing your account, devices, email, passwords, two-factor authentication if available, files, and any connected services.
You must not disclose passwords, API keys, backup codes, private keys, seed phrases, payment card data, or other sensitive credentials through uploads, prompts, notes, screenshots, attachments, support chats, or any other feature of the Service.
If you discover a security issue, please report it to support@edgerecall.com and do not exploit, disclose, or access data that does not belong to you.
21. Disclaimers
The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted or error-free operation.
We do not warrant that:
- the Service will meet your requirements or expectations;
- the Service will be uninterrupted, timely, secure, or error-free;
- data, analytics, calculations, reports, summaries, reviews, or AI-assisted outputs will be accurate, complete, current, or reliable;
- errors will be corrected;
- third-party services will remain available or accurate;
- the Service will prevent trading losses or improve trading performance; or
- any content or information obtained through the Service will be suitable for your trading, investment, tax, legal, accounting, or business decisions.
You use the Service at your own discretion and risk.
Some jurisdictions do not allow certain warranty exclusions, so some of the above exclusions may not apply to you.
22. Limitation of liability
To the maximum extent permitted by law, we and our affiliates, officers, directors, employees, contractors, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, goodwill, data, use, trading opportunity, investment value, business interruption, or other intangible losses, arising out of or related to your use of or inability to use the Service.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of: (a) the amount you paid to us for the Service in the three months before the event giving rise to the claim; or (b) EUR 100. If the Service is provided to you free of charge, our total liability will not exceed EUR 100.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including mandatory consumer rights.
23. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, contractors, licensors, service providers, and partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use or misuse of the Service;
- your User Content;
- your trading, investment, tax, legal, accounting, or business decisions;
- your violation of these Terms;
- your violation of applicable law or third-party rights;
- unauthorized data, files, screenshots, audio, transcripts, or other materials you upload or import; or
- unauthorized access caused by your failure to secure your account or credentials.
If you use the Service as a consumer, this section applies only to the extent permitted by applicable law.
We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us.
24. Suspension and termination
You may stop using the Service at any time. You may request account deletion as described in these Terms and in our Privacy Policy.
We may suspend, restrict, downgrade, or terminate your access to the Service at any time if:
- you violate these Terms;
- we believe your account creates legal, security, fraud, abuse, or platform integrity risk;
- your use of the Service may harm us, users, third parties, or third-party providers;
- we are required to do so by law, court order, regulator, payment processor, infrastructure provider, or other third party; or
- we discontinue the Service or relevant part of it.
Upon termination, your right to use the Service will cease immediately. We may delete or disable access to your account and User Content, subject to our Privacy Policy, backup retention, legal obligations, and legitimate business needs.
Sections that by their nature should survive termination will survive, including provisions on no advice, user content, intellectual property, privacy, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
25. International use
The Service may be accessible from many countries, but we do not represent that the Service is appropriate, available, or lawful in every jurisdiction.
You are responsible for complying with the laws that apply to you, including laws relating to trading, financial promotions, taxation, data protection, consumer protection, and online services.
We may restrict access to the Service in certain jurisdictions or for certain users at our discretion.
26. Consumer rights
If you use the Service as a consumer, you may have mandatory legal rights under the laws of your country or region. Nothing in these Terms is intended to exclude, restrict, or modify rights that cannot be excluded, restricted, or modified by contract.
If paid features, subscriptions, trials, automatic renewals, or digital content purchases are introduced, we will provide any required checkout disclosures, cancellation information, renewal terms, withdrawal information, refund information, and statutory remedy information as required by applicable law.
27. Notices
We may provide notices by email, in-app message, account notification, website posting, or other reasonable means. Notices to you may be sent to the email address associated with your account.

You are responsible for keeping your contact information accurate and up to date.
28. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email, in-app notice, or posting an updated version on our website.
The updated Terms will become effective on the date stated in the updated version. Your continued use of the Service after the updated Terms become effective means that you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and, if applicable, cancel any paid access.
29. Governing law and dispute resolution
These Terms are governed by applicable law, except where mandatory consumer protection laws provide otherwise.
If a dispute arises out of or relates to these Terms or the Service, you agree to contact us first at support@edgerecall.com and attempt to resolve the dispute informally before starting formal proceedings, unless applicable law gives you a mandatory right to proceed otherwise.
30. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.
31. Force majeure
We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including internet outages, cloud provider failures, third-party provider outages, power failures, labor disputes, natural disasters, war, terrorism, civil unrest, government action, changes in law, cyberattacks, pandemics, or other events beyond our control.
32. Severability and waiver
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
33. Entire agreement
These Terms, together with any policies or agreements incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications regarding the Service.
